RGA’s commitment to best governance and ethics practices has been one of the company’s strengths since the beginning. For example, our chief executive officer and board chair roles have been held by separate individuals since 1993, the year of our initial public offering. We believe that sound principles of corporate governance are a key element of our business, and the RGA Board of Directors is deeply involved in providing continuing insight and clarity into our governance process. All directors, officers, and employees conduct business in compliance with the various corporate governance documents available on our corporate website.

Our commitment to excellent governance expanded in 2020. Highlights from the year include:

  • RGA was recognized by Women on Boards as a “Winning Company.”
  • Our board became fully declassified in 2021, so that all board members stand for election for a one-year term.
  • A significant majority of our shareholders (98%) approved the compensation program of our named executive officers last year, giving us a 98% average Say on Pay vote over the last five years.
  • The European Data Protection Board approved RGA as a Controller and Processor of personal data in Binding Corporate Rules, one of the highest data protection standards on the globe.

As a values-based company, RGA has always been guided by ethical business practices and will continue to operate this way moving forward.
